Associate Counsel

CompuNet, Inc. is seeking an Associate Counsel to perform day-to-day contract review, negotiation, and redlining activities. This role is critical in ensuring that contractual agreements align with company standards, mitigate risk, and support business objectives across our technology solutions portfolio.

Responsibilities

Review, draft, and redline a wide range of contracts, including vendor and OEM agreements, customer contracts, NDAs, MSAs, SOWs, and amendments, and lease documents; Partner with internal stakeholders (sales, operations, finance, and leadership) to align contract terms with business goals; Identify and mitigate contractual risks; escalate issues as appropriate; Ensure consistency with company policies, legal standards, and compliance requirements; Support negotiations with customers, partners, and vendors; Maintain templates and standard contract language to improve efficiency; Assist with process improvements related to contract management and review workflows

Requirements

Juris Doctor; 1 - 2+ years of experience in contract review, drafting, and negotiation; Strong understanding of common contract structures (MSA, SOW, NDA, etc.); Proven ability to independently review and redline contracts with minimal oversight; Excellent written and verbal communication skills; Strong analytical and problem-solving abilities; High attention to detail and organizational skills; Ability to manage multiple priorities in a fast-paced environment; Willing to be based in the Boise, Idaho area (including Meridian and surrounding communities) or willing to relocate to the Boise/Meridian area

Nice to have

Experience in the OEM, VAR, IT services, or technology solutions industry strongly preferred; Experience working in a high-growth or services-driven organization; Familiarity with technology vendor agreements and partner ecosystems; Hands-on experience implementing, administering, and optimizing a Contract Lifecycle Management (CLM) system (e.g., Ironclad strongly preferred)
